Terms of Service

These terms govern all services provided by MPStudio. By engaging our services, you agree to the terms below.

1. Definitions

"MPStudio," "we," "us" refers to MPStudio, an AI automation studio operated by Minh Pham, based in Hanoi, Vietnam.

"Client," "you" refers to the individual or business entity engaging MPStudio for services.

"Workflow" refers to a single automated sequence defined by one initiating trigger (e.g. a form submission, a scheduled event, a webhook, an incoming email). All nodes, sub-workflows, and logic branches that execute from that single trigger count as one workflow. If two automations serve the same department but are initiated by different triggers, they are separate workflows.

"Proposal" refers to the scoping document MPStudio provides for each workflow or project, detailing the design, logic, integrations, complexity tier, and price.

"Complexity tier" refers to one of three classifications (Simple, Standard, or Complex) assigned during scoping. The tier reflects the number of integrations, the logic involved, and whether AI components are included. Each proposal states the assigned tier.

"Deliverables" refers to the completed workflows and the approved proposal document.

2. Scope of services

MPStudio provides AI automation consulting, workflow design, and workflow development services. Each engagement begins with a scoping phase where we assess the client's needs and produce a proposal.

The proposal is the single source of truth for what will be delivered. Work not described in the proposal is not included in the engagement. If additional functionality is needed, it is handled as a change request (see Section 6).

Each proposal is valid for 30 days from the date it is issued. After 30 days, the scope and pricing may be reassessed.

3. Pricing and payment

All services are priced as fixed-fee engagements. We do not charge by the hour. Pricing is determined by the complexity tier assigned during scoping and stated in each proposal.

Payment is due 100% upfront before work begins. All invoices are denominated in US Dollars (USD).

Package discounts (e.g. multi-workflow bundles) apply only when all workflows in the package are delivered. If the engagement is cancelled before completion, delivered and in-progress workflows are recalculated at the standard per-workflow rate for their tier. See Section 5 for details.

4. Revisions and change requests

Each workflow includes 2 revision rounds. A revision is a modification to functionality already described in the approved proposal. Examples: adjusting the trigger type, changing the format of a notification, or modifying a conditional rule that was part of the original design.

A change request is any addition or modification that falls outside the approved proposal. Examples: adding a new integration that was not in scope, or extending the workflow to cover an additional use case. Change requests are scoped, quoted, and approved separately before work begins. Each change request includes its own 2 revision rounds.

Change requests submitted during an active project are queued and addressed after the current workflow is delivered, unless both parties agree to adjust the timeline.

5. Cancellation and refunds

Once payment is received, work is considered started. If you cancel an engagement:

  • Delivered workflows (accepted or handed over) are non-refundable.
  • In-progress workflows (development has begun) are non-refundable.
  • Unstarted workflows (no development work has begun) are refundable.

For package engagements, all delivered and in-progress workflows are recalculated at the full per-workflow rate for their complexity tier. The refund equals the original payment minus the recalculated total. The package discount applies only when the full package is completed.

For per-project engagements, the proposal breaks work into milestones. Only unstarted milestones are refundable.

6. Delivery and hosting

By default, MPStudio builds and hosts workflows on our own infrastructure. You receive the outcome of the automation (e.g. processed data, notifications, synced records) without needing to operate the tooling.

If you request a full handover of workflow files, you must provide your own infrastructure: either a self-hosted n8n instance or an n8n cloud subscription. Handover is also provided when you do not subscribe to a maintenance plan.

If you use n8n cloud, you agree to invite MPStudio as a Project Editor on your instance for the duration of the engagement (and during any active maintenance period). n8n cloud includes unlimited users at no additional seat cost.

The approved proposal document serves as the project documentation. It includes the workflow design, logic, and integration details. No separate training sessions are provided unless agreed upon in writing.

7. Bug fix period

After final delivery of each workflow, MPStudio provides a 14-day bug fix window at no additional cost. A bug is defined as behavior that does not match what is described in the approved proposal.

Requests for new functionality, additional integrations, or changes to the original scope during the bug fix period are treated as change requests (see Section 4).

After the 14-day window, support is available through a maintenance plan or at per-incident rates.

8. Maintenance

Maintenance plans are optional and billed at MPStudio's current published rates. Maintenance covers monitoring, fixing breaks caused by third-party changes, and small adjustments.

Clients without an active maintenance plan may request support at MPStudio's then-current per-incident rates.

If you do not subscribe to a maintenance plan and return after the 14-day bug fix window has ended, the engagement is treated as a new project. New scope, new proposal, current pricing.

9. Client responsibilities

To deliver the agreed scope on time, we need your cooperation. You agree to:

  • Provide necessary access, credentials, API keys, and test accounts in a timely manner.
  • Respond to requests for information, feedback, or approval within 5 business days.
  • Ensure that any third-party accounts or subscriptions required for the workflow are active and accessible.

If a response is not received within 5 business days, the project timeline is extended by the duration of the delay.

If no response is received for 30 consecutive days, the project is considered abandoned. Delivered and in-progress work is non-refundable. Unstarted work is refunded per Section 5.

10. Third-party services

Our workflows integrate with third-party platforms (e.g. n8n, Google Workspace, Slack, CRM systems, AI providers). MPStudio is not responsible for downtime, data loss, API changes, or service disruptions caused by third-party providers.

If a third-party API change breaks a workflow:

  • Clients with an active maintenance plan: we fix it as part of the plan.
  • Clients without maintenance: the fix is billed at per-incident rates.
11. Intellectual property

Upon full payment, you own the specific workflows built for your engagement. This includes the workflow configurations, logic, and any custom integrations designed for your use case.

MPStudio retains ownership of all pre-existing tools, templates, reusable components, and general methodologies used in the delivery. We may reuse these building blocks across other client engagements.

Ownership transfers only upon full payment. If an engagement is cancelled, you own only the workflows that were fully delivered and paid for.

12. Confidentiality

Both parties agree to keep each other's confidential information private. This includes business processes, credentials, pricing, technical details, and any information shared during the engagement that is not publicly available.

This obligation survives the end of the engagement.

MPStudio may use your company name and a general description of the project in our portfolio, website, and marketing materials. If you prefer not to be featured, let us know in writing and we will honor that request.

13. Limitation of liability

MPStudio's total liability for any claim arising from an engagement is capped at the total fees you paid for that specific engagement.

MPStudio is not liable for indirect, incidental, or consequential damages, including but not limited to lost revenue, lost data, or business interruption, even if we were advised of the possibility.

14. Governing law and disputes

These terms are governed by the laws of Vietnam.

If a dispute arises, both parties agree to first attempt resolution informally through direct communication for a period of 30 days.

If the dispute cannot be resolved informally, it shall be submitted to the Vietnam International Arbitration Centre (VIAC) for binding arbitration in accordance with its rules.

15. Changes to these terms

MPStudio may update these terms from time to time. The latest version is always available on this page. Existing engagements are governed by the terms in effect at the time the proposal was accepted.
